§ 1 Scope, Contracting Party

(1) These Terms of Service govern the use of the website sonictrades.com (the “Platform”) and all related services.

(2) The operator of the Platform and the contracting party is:

(referred to below as the “Operator” or “we”).

(3) Users of the Platform are, on the one hand, individuals or businesses who post listings (“Providers”), and on the other hand, individuals who view listings and contact Providers (“Interested Parties”). Both are collectively referred to as “Users.”

(4) We object to any deviating terms and conditions of Users unless we expressly agree to their applicability in writing.

§ 2 Description of Services, Role as Intermediary

(1) The Platform is a classifieds/listings platform for products and services in the area of trading and financial-market tools, as well as related offerings. Providers may create listings including text, images, and videos.

(2) The Operator merely facilitates contact between Providers and Interested Parties by publishing listings. Any purchase agreement or service agreement regarding the advertised product or service is concluded exclusively between the Provider and the Interested Party and is carried out entirely outside the Platform (e.g., by email or via the Provider’s own website).

(3) The Operator is not a party to such agreements between Provider and Interested Party, does not become a contracting party to them, does not review their content for accuracy, legitimacy, or lawfulness, and assumes no responsibility for them. In particular, the Operator does not verify whether Providers hold any regulatory licenses that may be required for the services advertised (e.g., financial or investment advice).

(4) The Operator charges Providers a fee for publishing listings (§ 6). No fee is charged to Interested Parties. No success-based commission or finder’s fee is charged.

§ 3 Registration as a Provider

(1) Posting a listing requires registration as a Provider. Interested Parties may use the Platform without registering; contact with Providers is made directly using the contact details stated in the relevant listing.

(2) Only persons who are at least 18 years old and have full legal capacity may register as a Provider. By registering, the Provider confirms that this requirement is met.

(3) The Provider must provide accurate information upon registration and update it without delay if it changes. The Operator is entitled to change or reclaim a chosen username if it is unlawful, offensive, or otherwise objectionable.

(4) Login credentials must be kept confidential. The Provider is liable for actions carried out using their login credentials to the extent the Provider is responsible for any misuse. The Provider may not access or use the Platform through automated or non-human means (bots, scripts, or similar) to create accounts or take any action.

§ 4 Creating Listings, Content, Grant of Rights

(1) Providers may create listings containing text, images, and videos. Listings are published immediately upon receipt of payment, without prior content review by the Operator (“instant publication”).

(2) The Provider warrants that they hold all necessary rights in any content they upload (text, images, videos, trademarks, logos) and that publishing this content does not infringe any third-party rights, in particular copyright, trademark, or personality rights.

(3) The Provider grants the Operator a simple (non-exclusive) right of use, limited in scope to the duration of the listing, to make the uploaded content publicly available and to reproduce it on the Platform and, to a customary extent, for the purpose of promoting the Platform (e.g., excerpts in search results, thumbnails, or social media snippets).

(4) The Operator is entitled to remove or suspend listings without prior notice if there are indications of a violation of § 9 of these Terms or of applicable law.

§ 5 Intellectual Property of the Operator

(1) All content on the Platform that has not been posted by Users – in particular the design, layout, source code, database structure, logo, and the “sonictrades” brand – is owned by the Operator or its licensors and is protected under copyright and trademark law.

(2) Reproducing, distributing, publicly displaying, or otherwise using this content beyond the intended use of the Platform is not permitted without the Operator’s prior written consent.

(3) Automated extraction of data from the Platform (scraping, bots, crawlers) for the systematic copying of listing content or the database structure is prohibited, except to the extent permitted by mandatory law (e.g., ordinary search-engine crawling in accordance with robots.txt).

§ 6 Fees, Payment

(1) The following packages are currently available for publishing a listing:

• Free: no charge, 30-day duration, 1 category, 1 location, up to 6 images, no videos.
• Normal: USD 9, 1-year duration, up to 2 categories, up to 12 images, 1 video.
• Best: USD 13, 2-year duration, up to 3 categories, up to 25 images, up to 3 videos.

The currently applicable packages, durations, features, and prices are shown transparently to the Provider on the website prior to payment; this list may change in the future.

(2) This is a one-time purchase for the selected duration; there is no automatic renewal or subscription.

(3) An upgrade to a higher-tier package is possible during an active listing and requires contacting the Operator. A downgrade to a lower-tier package during the active duration is not possible. After the purchased duration expires, the listing is automatically downgraded to free mode (Free package); if no upgrade occurs within the following 30 days, the listing is deleted.

(4) Payment is processed via the payment providers Stripe and/or PayPal. The respective terms of use of these providers additionally apply. Payment is due upon booking the listing; publication occurs upon receipt of payment.

(5) As the Operator qualifies as a small business under § 19 (1) UStG (German VAT Act), no VAT is charged on the prices stated, and none is separately itemized.

§ 7 Right of Withdrawal for Consumers

(This provision applies only to the extent the Provider is a consumer within the meaning of § 13 of the German Civil Code (BGB), i.e., not acting in the course of a commercial or independent professional activity.)

Withdrawal Notice

You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day the contract is concluded.

To exercise your right of withdrawal, you must inform us (Christoph Böing, Zum Tollberg 8a, 46499 Hamminkeln, Germany, info@sonictrades.com) by means of a clear statement (e.g., an email) of your decision to withdraw from this contract.

Expiry of the Right of Withdrawal upon Instant Publication

You expressly agree that we may begin performing the service (publishing the listing) before the withdrawal period has expired. You confirm your awareness that your right of withdrawal expires once we have fully performed the contract, provided we began performance only after you gave your express consent to this.

Because the publication of the listing as such is technically fully performed at the moment it goes live, your right of withdrawal expires at that moment — irrespective of the visibility duration you purchased.

§ 8 Refunds upon Rejection or Deletion

(1) If the Operator rejects a listing before publication (e.g., due to a violation of § 9), the fee already paid will be refunded in full.

(2) If the Operator deletes an already-published listing prematurely for a reason attributable to the Provider (e.g., a violation of § 9), no refund will be issued.

(3) If the Operator deletes a listing for a reason not attributable to the Provider, or if the Provider requests premature deletion themselves without any violation having occurred, the fee will be refunded on a pro-rata basis for the remaining duration. The calculation is based on full calendar months of the originally purchased duration (example: 1-year duration, deletion after 1 month → refund of 11/12 of the amount paid).

(4) The statutory right of withdrawal under § 7 remains unaffected by this provision, to the extent it has not already expired under § 7.

§ 9 User Obligations, Prohibited Content

(1) Users agree not to use the Platform for unlawful purposes and, in particular, not to post content that:

1. contains promises or guarantees of returns (e.g., “guaranteed profit,” “risk-free,” fixed percentage claims of safe monthly returns);
2. advertises financial services requiring a license (individual investment advice, portfolio/asset management, deposit-taking business, or similar), where the Provider does not hold the required regulatory license;
3. promotes fraudulent or Ponzi/pyramid-like schemes, in particular compensation for recruiting further paying participants without an underlying genuine product;
4. infringes third-party rights, in particular copyright, trademark, or patent rights (e.g., unauthorized copies of Expert Advisors/indicators, fabricated backtests);
5. is misleading, in particular fake or manipulated customer reviews, performance data, or backtest results;
6. concerns products or services that are prohibited by law (e.g., weapons, narcotics, forged documents);
7. contains malware, viruses, or other harmful code (e.g., in uploaded files, scripts, Expert Advisors);
8. infringes the personality rights of third parties (e.g., images or videos of individuals without their consent);
9. constitutes pure spam listings without a genuine product reference, or serves solely to redirect to offers outside the Platform.

(2) If a User violates paragraph (1), the Operator is entitled to remove the listing in question and/or suspend the account (§ 12).

§ 10 Reporting and Complaint Mechanism

(1) Any User may report a listing via the reporting function integrated into the listing itself, for suspected legal violations or violations of § 9.

(2) The Operator reviews incoming reports and decides, at its reasonable discretion and taking into account the severity of the reported violation, whether to remove, suspend, or retain the listing. Reports of manifest legal violations are reviewed promptly.

(3) The point of contact for legal notices (including notices from authorities under the EU Digital Services Act) is: info@sonictrades.com.

(4) The Provider affected by a removal will be informed of the decision and its reasons and may object to it.

§ 11 Liability of the Operator

(1) The Operator is liable without limitation for intent and gross negligence, under the German Product Liability Act (Produkthaftungsgesetz), and for injury to life, body, or health.

(2) In the event of slightly negligent breach of a material contractual obligation (an obligation whose fulfillment is essential to the proper performance of the contract and on whose observance the User may regularly rely), liability is limited to the foreseeable damage typical for this type of contract. Liability for slight negligence is otherwise excluded.

(3) In particular, the Operator assumes no liability for: the accuracy, completeness, or lawfulness of content posted by Providers; the formation, performance, or fulfillment of contracts between Providers and Interested Parties; or economic losses arising from the use of products advertised on the Platform (e.g., trading software).

(4) Regarding third-party content posted by Users, the Operator, as a hosting service provider (Art. 6 of the EU Digital Services Act), is not liable as long as it has no knowledge of its unlawfulness. Upon obtaining such knowledge, the Operator will promptly remove or disable access to the relevant content.

§ 12 Account Suspension, Termination

(1) The Operator may suspend or delete accounts and/or listings without prior notice in the event of a violation of these Terms of Service or applicable law.

(2) A User whose account has been suspended for such a reason may not re-register under their own name, a false name, or the name of a third party in order to circumvent the suspension.

(3) Either party may discontinue use at any time without stating reasons by deleting the account. Fees already paid will be treated in accordance with § 8 in such a case.

§ 13 Data Protection

Information on the processing of personal data can be found in the separate Privacy Policy.

§ 14 Amendments to these Terms of Service

The Operator reserves the right to amend these Terms of Service with future effect, to the extent necessary for legal or technical reasons. Registered Providers will be notified by email of material changes. If the Provider does not object within [e.g., 4 weeks], the amended Terms are deemed accepted; this will be specifically pointed out in the notification of the change.

§ 15 Final Provisions

(1) Governing Law: These Terms of Service are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If the User is a consumer with habitual residence in another country, any mandatory consumer-protection provisions of that country remain unaffected.

(2) Jurisdiction: If the User is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with this contract is the Operator’s place of business (Hamminkeln, Germany). Against consumers, this applies only to the extent mandatory statutory provisions on consumer jurisdiction do not conflict with it.

(3) Dispute Resolution: As a micro-enterprise, the Operator is neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board (§ 36 (1) No. 2 of the German Act on Alternative Dispute Resolution in Consumer Matters, “VSBG”).

(4) Should any individual provision of these Terms of Service be or become invalid, the validity of the remaining provisions shall remain unaffected.
